This represents a premium of more than twelve times ZeroStack’s recent trading price. Furthermore, the shares resulting from these warrants are subject to a lock-up period of up to ten years and require approval from ZeroStack shareholders under Nasdaq Listing Rule 5635. As part of the deal, Rudy Rong, a principal at MemeCore, has been appointed President of ZeroStack. The partnership aims to integrate ZeroStack’s decentralized AI strategy with MemeCore’s consumer-driven digital economy, exploring new avenues for blockchain-powered cultural economies and institutional participation.
